Introduction
Please read the terms and conditions below carefully before using the Dynex Neuromorphic Cloud Computing service.
Agreement Overview
This Customer Agreement ("Agreement") is between the Dynex contracting party specified later ("Dynex" or "We") and you or the entity you represent ("Customer" or "You"). It governs your acquisition and use of our services from the date you accept it, such as by clicking a checkbox or executing an order.
Online Agreement Conclusion
When the agreement is concluded online, we display your entered information for confirmation and correction before acceptance and confirm receipt of your contractual declaration promptly.
Authority and Acceptance
If you represent a company or entity, you confirm having the authority to bind it to these terms. You must not accept this agreement or use the services if you lack such authority or disagree with these terms.
Age Requirement
You must be at least 18 years old to use our services. Some terms may vary by country, as detailed in Appendix A, especially for European users.
Agreement Updates
The last update to this agreement was on January 27, 2024. Definitions for capitalized terms are found in Section 11 or elsewhere in the Agreement.
1. Services
1.1 Service Provision
Dynex will provide the services you order, accessible and usable in accordance with this Agreement and the applicable service descriptions.
1.2 Service Changes
Dynex may modify or discontinue any service with seven days' notice.
1.3 Service Availability
Services may not always be available in real-time or uninterrupted, and computing tasks may be queued.
2. Customer Responsibilities
2.1 Compliance and Data Legality
Customers are responsible for their users' compliance, the accuracy and legality of their data, and preventing unauthorized access or use of services.
2.2 Account Security
Customers are accountable for activities under their account and securing their access tokens.
2.3 Equipment and Data Backup
Customers must maintain their equipment and connections for service access and are responsible for data backups.
2.4 Data Regulation Compliance
Customers should not submit regulated data like personal or health information unless requested during account setup.
3. Open Access Program
3.1 Free Service Access
Services are provided to customers at no charge.
3.2 Open Source Requirement
All customer-authored software for use with the services must be open source with publicly available code.
3.3 Service Improvement
Dynex may use customer data and feedback to enhance services.
4. Service Offerings and Terms
Details on service offerings, additional services, account balance, usage limits, prohibited uses, and export compliance are thoroughly outlined.
5. Confidentiality, Privacy, and Data Use
Comprehensive terms on confidentiality, data handling, privacy policies, remedies, and security measures are provided.
6. Beta Access
Conditions for accessing beta services, including use restrictions, confidentiality, and feedback, are described.
7. Intellectual Property
The terms define ownership and licensing of Dynex and customer intellectual property, feedback, and third-party software.
8. Term and Termination
Provisions for the agreement's term, termination conditions, and post-termination obligations are laid out.
9. Warranties, Liability, and Indemnity
This section addresses warranty disclaimers, liability limitations, and indemnity obligations.
10. General Provisions
General contractual terms including the entire agreement, relationship nature, force majeure, representations, assignment, waivers, amendments, governing law, third-party beneficiaries, and other standard contractual provisions are included.
11. Definitions
Specific definitions for terms used throughout the agreement are provided.
Appendix A - Local Provisions
Local provisions and variations for specific jurisdictions, including the United States, Europe, France, Germany, the United Kingdom, India, Singapore, Australia, and Israel, are detailed, affecting aspects like statutory rights, amendments, and governing law.
